Constitution & By-Laws




ARTICLE I – NAME AND PURPOSE

Section 1 – Name: The name of this association shall by the Central Coast Peregrine Pathfinders, hereinafter referred to as the Association.

Section 2 – Purpose:
     a.     To promote public health, physical fitness and well-being by organizing, promoting and conducting scheduled programs of non-competitive, family-oriented, participatory lifetime sports including, but limited to walking (including jogging and running), swimming, cross-country skiing, and such other events as may be sanctioned by the American Volkssport Association (AVA).
     b.    To maintain close communication with AVA, the California Volkssport Association (CVA), and other Volkssport clubs.
     c     All activities of the Association shall be carried on so as to be responsible to the needs of all persons without regard to race, religion, sex, age, national or cultural origin, place of residence, economic circumstances, lifestyle or social status.

Section 3 – Non-Profit Status:
     a.     This Association is a non-profit public benefit association and is not organized for the private gain of any person.  It is organized for public purposes.
     b.     The Association is organized and operated exclusively for social welfare purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code.
     c.     The property of this Association is irrevocable dedicated to social welfare purposes and no part of the net income or assets of this Association shall inure to the benefit of any director, officer, or member thereof, or to the benefit of any private person.  Upon dissolution or winding up of the Association, its assets remaining after the payment, or provision of payment, of all debts and liabilities of the Association, shall be distributed to a non-profit fund, foundation, or association which is organized and operated exclusively for social welfare purposes and which has established its tax-exempt status under Section 501(c)(3) of the Internal Revenue Code.
 

ARTICLE II – MEMBERSHIP, DUES, AND FEES

Section 1 – Qualifications:  Membership is open to anyone who is interested in walking, biking, swimming, or cross-country skiing.  There will be two classes of memberships:
     a.     Individual.
     b.     Family – all members of a family or unrelated persons who are living at the same address.

Section 2 – Dues:  Membership dues shall be established by the Association.  Family dues shall not be more than double the amount for individual memberships.

Section 3 – Arrears:  Members delinquent in payment of dues will be denied voting privileges at all Association meetings.

Section 4 – Voting Rights:  All members over the age of 18 years who are in good standing shall have equal voting rights.

Section 5 – Fees:  Additional fees may be requested from time to time for special functions, entertainment, and group activities approved by the members.
 

ARTICLE III – MEETINGS

Section 1 – Meetings
     a.     The time for regular meetings shall be established by the officers with the approval of the membership.  Regular meetings may be postponed by the officers for good reason as deemed appropriate by the officers of the Association.
     b.     Special meetings may be called at any time when deemed appropriate by the officers of the Association.

Section 2 – Quorum:  a quorum at any meeting of the Association shall be any number with at least two officers to transact business.
 

ARTICLE IV – OFFICERS

Section 1 – Officers:  The officers of the Association and their respective duties are as shown below.  No officer shall receive compensation for services rendered, but may be reimbursed for expenses incurred in the performance of duties.
     a.     PRESIDENT – shall be the chief administrative officer of the Association.  Shall serve as Chairperson at all meetings.  Ahall represent the Association in all affairs, or in his/her absence, designate the Vice President or an appropriate representative.  Shall appoint committee chairpersons from time to time as deemed necessary and shall be an ex officio member of such committees.
     b.     VICE PRESIDENT – shall serve as program coordinator for the Association.  Shall perform duties as assigned by the President, and shall have the responsibility of serving closely with all committees.  In the absence of the President, the Vice President shall perform duties of the President.
     c.     TREASURER – shall receive and serve as custodian of all moneys collected for dues, event fees, and other sources; pay all bills and other disbursements authorized by the President; keep complete and accurate records of receipts and disbursements including bank accounts.  Shall prepare a financial statement upon the request of the President listing all bills paid and to whom, as well as receipts and from whatever source.  At the end of the fiscal year, shall prepare a financial statement to be submitted to the California Volkssport Association and/or American Volkssport Association as required.
     d.     SECRETARY – shall keep a membership roll, conduct all the Association’s correspondence, take minutes of each meeting, and make a report for the record.  Shall notify club members when their dues are renewable.  Shall mail and distribute club fliers, announcements, etc., when necessary.  Shall provide all members with a copy of the Constitution and By-Laws and membership roster, and shall perform other duties as determined by the President.
     e.     NEWSLETTER EDITOR – shall be responsible for writing and publishing a newsletter to keep members informed of the activities of the Association.

Section 2 – Elections & Terms:  The officers of the Association shall be elected by the membership and the July meeting.  Nominations for elective officers shall be solicited in the June newsletter and by voice at the July meeting.  Each officer shall be elected for a one year term.

Section 3 -- Vacancy:  Should a vacancy occur for any reason during an officer’s term, the President shall appoint a successor to fill the unexpired term.

Section 4 – Removal:  Any of the elected officers of the Association can be removed from office by a recall motion instituted by an active member of the Association, provided said motion is petitioned by at least 25% of the active members.  The motion will become effective if accepted by a majority vote.
 

ARTICLE V – TRAILMASTERS
Trailmasters are responsible for laying our a trail, making contact with civic or community officials as necessary to get permission for the event, and assisting in establishing start/finish and control points, and other such duties needed to conduct a successful event.
 

ARTICLE VI – GENERAL PROVISIONS

Section 1 – Fiscal Year:  The fiscal year of the Association shall be July 1 through June 30.

Section 2 – Amendments:  This Constitution & By-Laws shall be amended or repealed and new by-laws adopted by the membership.  The notice of any meeting at which such action is to be taken or considered must specify the purpose of the meeting and the proposed changes or additions to the By-Laws.

Section 3 – Membership Activities:  The Association shall not engage in any political activity prohibited under the rules of organizations claiming exemption under R&TC Section 23701(d).  The Association may participate in any activity in keeping with its purpose and approved by a vote of the membership at any meeting.

Section 4 – Use of Association Name:  The name of the Association may be used to identify only those activities which clearly promote the purpose of the Association as outlined in Article I, Section 2 of these By-Laws, and in which participation consists almost entirely of regular Association Members.

Section 5 – Bank Account:  A bank account in the name of the Association shall be established in accordance with instructions from the officers of the Association.  Deposits to the account will be made as required by the Treasurer.  Withdrawals shall be made upon verbal request from the President.  The President, Vice President, and Treasurer shall have authority to make withdrawals and shall be on record with the authorized financial institution.

Section 6 – Dissolution:  The Association may only be dissolved upon decision of the voting members at a regular or special meeting.
